XM Satellite Radio Holdings Offers $400 Mln New Senior Notes

XM Satellite Radio Holdings Inc. (XMSR: News, Chart, Quote ) announced an offering of new senior notes for aggregate amountof $400 million, as part of a series of transactions to refinanceits debts in connection with the pending merger with SiriusSatellite Radio Inc.

The company said the notes will be offered to qualifiedinstitutional buyers in the United States following Rule 144A underthe U.S. Securities Act of 1933 and to persons outside of theUnited States following the Regulation S under the Securities Act.
