July 21, 2008 (FinancialWire) XM Satellite Radio Holdings Inc.(NASDAQ: XMSR) (Current Market Cap. US$2.73 Bil.) is launching anoffering of $400 million aggregate principal amount of new seniornotes. The offering is part of a series of transactions torefinance certain debt of XM in connection with the pending mergerwith SIRIUS Satellite Radio Inc. (NASDAQ: SIRI). The offering willbe structured in a manner that will permit it to be unwound if themerger is not consummated. The closing of the pending mergerremains subject to the approval from the Federal CommunicationsCommission and satisfaction of other applicable conditions. Thenotes will be offered in the United States to qualifiedinstitutional buyers pursuant to Rule 144A under the U.S.Securities Act of 1933, as amended, to persons outside of theUnited States pursuant to Regulation S under the Securities Act andapplicable private placement exemptions in such jurisdictions.
